Sassine Ghazi, President and CEO of Synopsys, emphasized the strategic importance of the deal, stating that the integration of Ansys will enhance Synopsys’ ability to provide end-to-end design solutions across the semiconductor, automotive, aerospace, and industrial sectors.
According to latest reports, Synopsys has secured all necessary regulatory approvals for its proposed acquisition of Ansys.
The announcement, made on July 14, 2025, confirms that the merger has passed antitrust and foreign investment scrutiny across all relevant jurisdictions, clearing the way for the transaction to close in the first half of 2026.
The $35 billion acquisition, first announced in January 2024, is set to reshape the landscape of engineering simulation and electronic design automation (EDA).
With the deal progressing smoothly through the regulatory landscape, Synopsys is positioning itself at the forefront of chip design, AI systems, and multiphysics simulation by integrating Ansys’ industry-leading capabilities into its broader platform.
According to Synopsys, the approvals include clearance under the Hart-Scott-Rodino (HSR) Antitrust Improvements Act in the United States, as well as regulatory authorizations from the European Commission, China’s State Administration for Market Regulation (SAMR), and other major global jurisdictions.

The acquisition comes at a time when convergence between electronic and mechanical systems is accelerating. With increased demand for simulation-driven product development, the combined entity will offer a comprehensive portfolio that addresses the growing complexity of smart, connected, and sustainable products.
The transaction is expected to close in early 2026, subject to customary closing conditions. Until that time, Synopsys and Ansys will continue to operate as independent companies.
This acquisition signals a transformative era for the semiconductor and engineering industries, with Synopsys poised to become a powerhouse offering deeper integration of design, simulation, and verification tools—all under one umbrella.
